Patrick J. Kernan acts as both special counsel and outside general counsel for companies. The scope of his services include:

General Corporate Transactional

Practice includes assistance to clients in every stage of business life, from start-up to reorganization to expansion to sale. Clients are advised on the structuring of entities, including corporations, partnerships and limited liability companies, based on liability, tax and operational considerations. Counsel in matters of corporate governance, guidance on officers and directors responsibilities of public and private companies, shareholder rights, and management procedures, as well as guidance in matters of corporate finance. Negotiate and draft joint venture, shareholder, franchise, and business purchase and sale agreements.

Clients are counseled on executive contracts, employee benefits and ERISA, and on issues of discrimination, termination, severance agreements, wage-and-hour and employee policies.

Real Estate & Land Use

Land use and real estate matters, including wineries, healthcare and senior housing facilities. Includes ensuring compliance with state and local environmental and land-use law, and with laws and regulations specific to health care facilities. Counsel in the business, financial, and regulatory issues relevant to financing health care facilities, new housing developments involving school impact fees, joint use projects and low income affordability requirements.

Sports & Entertainment Law

Collegiate conference mergers, coaching and player contracts, employment and Title IX issues, land use and project financing, including arena licensing agreements,general corporate advice for professional teams and collegiate conference, television contracts, sponsorship and public relations agreements.

Commercial Finance & Equipment Leasing

Represent borrowers and lenders in all varieties of secured and unsecured arrangements, and negotiate leases for equipment ranging from vehicles to computer technology.

Mergers & Acquisitions

Assist in pre-acquisition planning and structuring thorough due diligence investigation, effective drafting, and negotiation of transaction and financing documents. Familiarity with the benefits and pitfalls of all types of transactions, including the purchase or sale of stock and assets, strategic alliances, and debt and equity financing.

Trademarks, copyrights, unfair competition, trade secrets, computer law, business transactions and technology licensing.

Health Care Law

SOX compliance, governance, health related land use agreements and project financings, MRI and ambulatory surgery joint venture and physician recruitment agreements, EMTALA, HIPPA, hospital transfer agreements and other health care regulatory matters.
